  1. Q. What are you announcing today?
    A. Ipswitch File Transfer today, June 15, 2010, announced that it has acquired MessageWay Solutions.

  2. Q. What are the terms of the deal?
    A. Ipswitch acquired all of MessageWay Solutions in a cash transaction. The specifics of the deal will not be made public.

  3. Q. Who is MessageWay Solutions? What do they do?
    A. MessageWay is a leading provider of managed file transfer and business integration solutions for companies that have requirements for governance over every step in the file delivery process, PCI DSS or HIPAA compliance, and the movement of extreme amounts of sensitive information in tight clearing windows.

    MessageWay’s customers are located on five continents and include three national ACHs, the largest payments processor in the world, the largest mortgage service processor in North America, and the largest third-party health claims administrator in North America.


  4. Q. Why MessageWay?
    A: The combination of MessageWay and Ipswitch brings together two solution providers strategically positioned in the 2009 Gartner Magic Quadrant for Managed File Transfer (MFT). Ipswitch is included in the “Leaders” quadrant while MessageWay is positioned in the “Visionaries” quadrant to the extreme right on the “completeness of vision” axis.

    The addition of MessageWay’s portfolio of products extends Ipswitch FT’s solution continuum from professional consumer (prosumer) up through distributed enterprise class file transfer platform.

    Joining these two market leaders creates the industry’s most powerful and complete suite of MFT solutions.


  5. Q. How will MessageWay be integrated into the Ipswitch portfolio?
    A. Ipswitch will integrate offerings from MessageWay into the portfolio of solutions. MessageWay and Ipswitch will work together to integrate their teams across all functional areas. Ipswitch will leverage the expertise MessageWay offers in B2B, electronic data interchange (EDI), high-performance data translation, analytics and help expand sales coverage of existing MessageWay products and solutions.

  6. Q. How will MessageWay be positioned with the existing Ipswitch portfolio?
    A. MessageWay clients and partners will be able to enhance their existing capabilities with the full breadth and depth of the Ipswitch portfolio, including WS_FTP and MOVEit solutions.

    Conversely, Ipswitch clients and partners will be able to gain even better visibility, management and enforcement over high-value, sensitive information with the integration of advanced analytics, enterprise-wide monitoring, interoperability, EDI and high-performance data translation.


  7. Q. What are Ipswitch’s plans with the MessageWay technology?
    A. Ipswitch plans to protect customer investments in both MessageWay and Ipswitch products, and Ipswitch intends to provide continued world-class service and support plans for offerings from MessageWay. Detailed product and support plans for MessageWay offerings are being developed.

  8. Q. How will this impact Ipswitch’s customers?
    A. When Ipswitch customers are ready to extend their investment they will benefit from a myriad of options that they can use to bring more value to their existing environment. Existing customers will be able to leverage the multiplatform support, integration technology, transformation, APIs, interfaces, workflow, event management and monitoring, and a service-centric module approach to the portfolio.

  9. Q. How will this impact MessageWay customers?
    A. MessageWay customers will continue to have the relationship with the organization that they do today. When they are ready, MessageWay customers will benefit by having more support options, more deployment options and the ability to extend their investments.

    A. MessageWay employees have become a part of the Ipswitch team. This is a strategic acquisition for Ipswitch and we view the combination of the technology, people and knowledge and the retention of and leverage of all three as vital to the success of the acquisition.
